Terms of Use

Version 2026-10-19-draft.1 · Effective 2026-10-19 (draft)

The rules for using Prowyse as a tax professional or as a client of one. Draft for counsel; commercial terms are not decided.

Agreement and who may use Prowyse

These draft Terms apply to tax professionals whose accounts are provisioned by Prowyse and to their clients, who are invited by their tax professional. Accounts are not available through public self-registration; the public request-access form is only a contact request.

Placeholder — counsel/product input required: Prowyse legal entity name, jurisdiction of formation, and mailing address — to be supplied by the product owner. Not established by the repository.

Placeholder — counsel/product input required: Eligibility, authority of a firm user to bind the firm, and minimum age — counsel decision.

What the service is — and is not

Prowyse helps a tax professional and their clients organise documents, understand information in prior-year returns and stay in contact. Prowyse is not a tax filing service, does not prepare or file returns, and does not provide tax, legal or accounting advice. Alerts, opportunities and AI-assisted classification are informational aids. The tax professional remains responsible for their own professional judgment and client relationships.

Accounts and security

Users must keep their sign-in access private, provide accurate information, and tell Prowyse promptly of suspected unauthorized access. Activation requires accepting the current documents; a user may be asked to accept updated versions to continue.

Documents and content

Users must have the right to upload the documents they submit. Uploaded content stays owned by the user or tax professional that provided it. Prowyse processes it only as described in the Privacy Policy and, for tax professionals, the DPA.

Placeholder — counsel/product input required: Licence to Prowyse to host and process content, acceptable-use rules, and prohibited content — counsel to draft.

Pilot access and fees

Access is currently offered as a free pilot that may later become a paid subscription.

Placeholder — counsel/product input required: Pilot duration, pricing, billing, changes to fees, and what happens to data when the pilot ends — product and counsel decisions.

Suspension and termination

Placeholder — counsel/product input required: Termination rights, data return and deletion on termination, and survival — counsel decision. The code does not yet implement account termination or data export.

Disclaimers, liability and disputes

Placeholder — counsel/product input required: Warranty disclaimers, limitation of liability, indemnities, governing law, venue and dispute resolution — counsel to draft. None are asserted in this draft.

Contact

Placeholder — counsel/product input required: Privacy/legal contact (name or role and monitored email address) — to be supplied by the product owner.
